These Terms and Conditions govern your use of CodeValuation.com and the Code Valuation applications operated by Workado, LLC. By creating an account, connecting GitHub, purchasing a product, or using the service, you agree to these terms.

1. Eligibility and accounts

You must be at least 18 years old and able to enter a binding agreement. You are responsible for your account, authorized workspace members, and activity performed through your credentials. GitHub authentication confirms control of a GitHub identity. It does not prove ownership of every repository or company associated with that identity.

2. Authorized repository access

You may connect, scan, share, or authorize only repositories, organizations, and reports you have permission to access. You may not bypass GitHub permissions, access another user's private data, upload malicious content, probe the service for unauthorized data, or misrepresent a report or authorization.

Repository administrators control private GitHub connections and external evaluator access. Authorization, revocation, interruption, reconnection, and disconnection events are recorded. Private source is processed ephemerally and is not stored as part of the valuation record.

3. What the estimates mean

RepoWorth estimates the modeled cost to rebuild a software codebase from measured repository evidence and versioned development assumptions. Contributor Value estimates the modeled development value attributable to accepted, durable work. Forecasts and assessments are evidence-based estimates with stated coverage, methodology, and limitations.

These products are not a company valuation, financial appraisal, code certification, formal financial or security audit, guarantee of software quality, lending decision, investment recommendation, procurement recommendation, employment score, or statement of any person's worth. They do not measure revenue, market position, intellectual-property ownership, commercial value, product judgment, mentorship, leadership, or work Git cannot capture.

4. Plans, trials, and purchases

Current prices, included features, minimum quantities, renewal terms, and the amount due are shown at checkout and control over older marketing copy. Eligible trials require a valid payment method and convert to the selected paid plan when the trial ends unless canceled before that time. Organization plans may require a minimum number of paid members.

Evaluator products may include a one-time Verified Snapshot, a Full Technical Assessment, and annual Continuous Monitoring. A Full Technical Assessment may include an initial monitoring term and a disclosed annual renewal. CodeValuation.com does not charge a company-authorized assessment request until the repository administrator accepts the complete package and the assessment begins. When supported, an unused assessment credit remains available if the request is declined or expires.

5. Payment providers and renewals

Web purchases are processed by Stripe. Native purchases are processed by Apple or Google. We store transaction and entitlement references, not full payment card numbers. Subscriptions renew automatically at the price and interval shown before purchase unless canceled. Taxes may apply. You authorize the applicable provider to charge the payment method associated with your purchase.

6. Cancellation and refunds

You can start a cancellation from account settings. Web subscriptions are managed through the Code Valuation billing portal. Native subscriptions are managed through the applicable Apple or Google subscription settings opened from the app. Unless the product states otherwise, cancellation stops renewal and paid access continues through the current billing period.

• A trial canceled before its displayed conversion time is not charged.
• A one-time Verified Snapshot or Full Technical Assessment is nonrefundable after the assessment has begun and the completed report has been delivered, except where law requires otherwise.
• Separately purchased monitoring that ends because authorization is revoked may receive an account credit for unused full months under the policy shown at purchase. A cash refund is not automatic.
• Monitoring included with an assessment has no separate refundable purchase price.
• Apple and Google purchases and refund requests are also subject to the applicable store's billing and refund rules.

7. Evaluator requests and company controls

An investor, lender, acquirer, or enterprise evaluator can receive private-derived information only after the evaluated organization accepts the complete report package. The organization accepts or declines the request as a whole and can review what the report covers before approval. Reports are read-only and do not expose source code or repository credentials.

Canceling an evaluated organization's own Code Valuation subscription does not automatically disconnect GitHub or revoke an active evaluator grant. Evaluator-paid monitoring may continue while the GitHub connection and grant remain active. The organization retains free read-only access to the same active report and can revoke an evaluator or disconnect GitHub at any time.

8. Revocation, disconnection, and interruption

• Evaluator revocation: the selected evaluator immediately loses future access to private-derived information, private report links are invalidated, and monitoring for that relationship stops.
• GitHub disconnection: new private scans stop and queued private work is canceled. Disconnection does not itself delete completed reports or permitted derived records; report access remains subject to the applicable grant and retention terms.
• Connection interruption: private scans and live private reporting are suspended while the owner is given the disclosed reconnection period.
• Previously downloaded reports: platform access can be revoked, but copies lawfully downloaded before revocation cannot be remotely deleted.

9. Public data, profiles, and research

We may evaluate public GitHub repositories and publish eligible RepoWorth pages, contributor profiles, indexes, benchmarks, and aggregate research. Public results include methodology, coverage, timestamps, and model context where applicable. Profile claims require verified GitHub control. Users can manage supported public, unlisted, private, attribution, badge, milestone, and opt-out controls.

10. Reports, exports, and acceptable use

You may use and share reports for lawful internal, professional, financing, investment, procurement, portfolio, or recruiting discussions while preserving the methodology, date, and limitations. You may not present an estimate as a formal appraisal, alter a report to create a false result, remove required attribution from public research, use Contributor Value as the sole basis for an employment decision, or use the service to harass or profile individuals.

Completed report files and report snapshots are scheduled for deletion 30 days after paid access ends if the account does not renew or resubscribe. A renewal or resubscription during that period cancels the scheduled deletion. Permitted connected-account measurements and derived metrics may remain while the connection is authorized for reporting, analytics, and anonymous aggregate benchmarking; underlying account, company, repository, contributor, source, and report data is not shared through those benchmarks.

11. Your content and our intellectual property

You retain rights in information you provide and in repositories you own. You grant us the limited rights needed to process authorized data, create requested reports, operate approved public pages, and provide the service. CodeValuation.com, RepoWorth, the valuation models, interfaces, branding, report templates, and service software remain the property of Workado, LLC and its licensors. Open-source components remain subject to their licenses.

12. Third-party services

GitHub, Railway, Supabase, Stripe, Apple, Google, SendGrid, approved AI providers, and other providers operate under their own terms. Their availability, authorization rules, rate limits, payment decisions, and service changes can affect CodeValuation.com. Approved AI assistance is limited to permitted derived report facts; raw repository source and private repository content are not AI inputs. We are not responsible for third-party services outside our control.

13. Suspension and termination

We may suspend or terminate access for nonpayment, abuse, security risk, unlawful use, material breach, or a third-party authorization failure. We will use reasonable notice where circumstances permit. Termination does not eliminate payment obligations, completed purchases, consent records, or provisions that reasonably survive termination.

14. Disclaimers and limitation

The service and estimates are provided on an as-available basis. To the maximum extent permitted by law, Workado, LLC disclaims implied warranties of merchantability, fitness for a particular purpose, noninfringement, and uninterrupted or error-free operation. To the maximum extent permitted by law, our aggregate liability arising from the service will not exceed the amount you paid to CodeValuation.com during the 12 months before the event giving rise to the claim. This limit does not apply where prohibited by law.
